Welcome to Younison.
These Terms & Conditions ("Terms") govern your access to and use of the Younison platform, applications, websites, products, and services (collectively, the "Platform"), operated by Younison, Inc. ("Younison", "we", "our", or "us").
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated herein by reference.
If you do not agree to these Terms, you must not access or use the Platform.
2.1 Age requirements
The Platform may be accessible from various jurisdictions, but Younison does not represent that the Platform is appropriate, lawful, or available in every country, and may restrict access to certain services or jurisdictions at any time.
You must be at least 18 years of age to create an account independently.
Users under 13. The Platform is not directed at children under 13 years of age, and Younison does not knowingly collect personal data from children under 13. Users under 13 must not create or use an account. If Younison becomes aware that it has collected personal data from a child under 13 without verified parental consent, it will take reasonable steps to delete that information.
Users aged 13 to 17. Users between 13 and 17 ("Minors") may use the Platform only with the prior verifiable consent of a parent or legal guardian. The parent or legal guardian:
- approves the Minor's account creation and use of the Platform;
- approves any payments, submissions, communications, and the processing of audio, video, and other personal data through the Platform;
- assumes full responsibility for the Minor's activity on the Platform;
- may be treated as the contracting party where required by applicable law.
Younison may require evidence of parental or guardian consent at any time, and may suspend or restrict access where such consent is not provided or where Younison reasonably suspects a user is below the applicable age threshold.
2.2 Account creation
By creating an account, you represent and warrant that:
- the information you provide is accurate, current, and complete;
- you have the legal capacity to enter into a binding contract;
- you will keep your login credentials confidential;
- you are solely responsible for all activity occurring under your account;
- you will not impersonate another person or misrepresent your identity, age, or qualifications;
- you are not subject to applicable sanctions and are not located in a jurisdiction subject to a U.S. or EU comprehensive embargo.
2.3 Suspension and termination
Younison may suspend, restrict, or terminate accounts that violate these Terms, misuse the Platform, attempt unauthorized access, or engage in fraudulent, abusive, or unlawful behavior. Where reasonably possible, Younison will provide notice and an opportunity to remedy non-material breaches.
Younison provides a digital platform for audition management, application submission, musician assessments, jury evaluations, recruitment workflows, professional networking, and related services for musicians and institutions.
Younison acts solely as a limited technical facilitator. Younison does not act as a talent agent, employment agent, legal representative, manager, negotiator, labor intermediary, employer, conservatory, or competition organizer, and does not negotiate, mediate, or enter into agreements on behalf of any musician or institution.
Institutions remain solely responsible for all hiring, admission, engagement, artistic, and contractual decisions. Musicians remain solely responsible for their own applications, communications, and any agreements they enter into with institutions or third parties through or following use of the Platform.
Where the Platform requires audition recordings to be created or submitted through Younison, you agree that:
- recordings must reflect your own actual performance;
- recordings must not be manipulated, edited, enhanced, time-stretched, pitch-corrected, or otherwise altered beyond what is expressly permitted within the Platform;
- no external editing tools or AI-generated performance content may be substituted for your live performance;
- recordings must be created under the technical conditions specified by the Platform to ensure comparability.
Younison may apply technical safeguards (including environmental, device, and signal checks) to support authenticity and comparability across submissions.
Any deliberate attempt to manipulate recordings, misrepresent identity, or otherwise circumvent authenticity safeguards may result in disqualification from the affected audition process, suspension or permanent termination of the account, notification of the affected institution, and, to the maximum extent permitted by applicable law, forfeiture of any fees paid in respect of the affected audition. Minor technical issues, accidental errors, or good-faith mistakes will not trigger these consequences; in such cases, Younison will, where reasonably possible, allow the Musician to resubmit.
Younison uses proprietary technologies and workflow safeguards designed to improve recording authenticity and integrity. However, Younison does not warrant absolute prevention of fraud or manipulation, and assumes no liability arising from a user's circumvention of such safeguards.
Musicians may apply to orchestras, conservatories, competitions, assessment services, and other opportunities published on the Platform.
Evaluations, scores, and jury feedback are professional opinions of the evaluators only. They:
- do not guarantee any outcome, advancement, invitation, contract, employment, or artistic success;
- may vary between evaluators and between rounds;
- must not be interpreted as employment, admission, or contractual guarantees;
- may be subject to institutional policies that override Platform mechanics.
Younison does not select candidates, make hiring decisions, or determine artistic merit. Such decisions rest exclusively with the relevant institution or its jury.
5.1 External vacancy data and redirects
Some opportunities displayed on the Platform may include information collected from third-party sources (institution websites, public announcements, partner feeds) or may redirect Musicians to external application processes operated by institutions or third parties.
Vacancy details — including deadlines, requirements, fees, repertoire, and application procedures — may change at short notice or contain inaccuracies. Musicians must verify all relevant information directly with the institution before relying on it, applying, or submitting any payment.
Younison is not responsible for, and disclaims all liability arising from, inaccuracies, omissions, or changes in third-party vacancy data, the availability or behavior of external application processes, or any decisions taken by institutions based on externally-submitted applications.
6.1 Service description
Audition Simulator and similar paid assessment services provide structured jury evaluations. Where applicable, musicians may receive:
- a numerical score (e.g., on a standardized 1–10 framework);
- structured evaluation across defined categories;
- written qualitative feedback from one or more reviewers;
- optional recommendations or improvement insights;
- an assessment summary or report.
6.2 Human evaluation; AI usage
All evaluations are produced by human jury members.
Younison does not use artificial intelligence to score, rank, evaluate, or make decisions about candidates. Artificial intelligence tools may be used solely to structure, refine, format, translate, or summarize the written text provided by jury members. No video, audio, performance content, CV, or identity data is submitted to artificial intelligence systems for evaluation purposes.
6.3 Turnaround
Standard turnaround for paid assessments is targeted at 5–10 business days from submission, subject to jury availability. Younison will use reasonable efforts to meet this target but does not guarantee specific delivery dates.
7.1 Fees
Certain Platform services are paid. Fees may include assessment fees, application fees, subscriptions, transaction fees, premium services, and other charges as published on the Platform. All applicable fees, taxes, and currencies are disclosed before purchase.
Payments are processed by third-party payment service providers, including Stripe, Inc. By making a payment, you also agree to the applicable payment provider's terms of service.
7.2 Refunds
Unless otherwise required by applicable law, payments made through the Platform are generally non-refundable once:
- an application has been submitted to an institution;
- an assessment or jury review process has started;
- recordings or materials have been accessed by the institution or jury;
- services have otherwise begun to be performed.
Users may request a refund within forty-eight (48) hours of purchase only where:
- no application has yet been submitted;
- no evaluation process has started; and
- no Platform service has yet been materially performed.
Refund requests are reviewed by Younison on a case-by-case basis.
Chargebacks or payment disputes initiated in bad faith, or contrary to these Terms, may result in suspension or termination of Platform access.
7.3 EU consumer right of withdrawal
Where you are a consumer resident in the European Union, you have a 14-day right of withdrawal from the date of contract conclusion. By starting the evaluation service before the end of this 14-day period, you expressly request the immediate performance of the service and acknowledge that you lose your right of withdrawal once the service has been fully performed.
7.4 Chargebacks and disputed payments
If you believe a payment is incorrect or that you are entitled to a refund, please contact Younison support first so we can resolve the matter. If you initiate a chargeback or payment dispute in bad faith or contrary to these Terms, Younison may suspend access to the relevant service pending resolution, to the extent permitted by applicable law. Your statutory rights to dispute payments with your bank or card issuer are not affected.
8.1 Your content
You retain full ownership of all intellectual property rights in the content you upload or create on the Platform, including recordings, audio, video, photographs, written materials, and CV information ("User Content").
8.2 License grant to Younison
By uploading or creating User Content on the Platform, you grant Younison a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, technically modify, transmit, stream, display, and process the User Content, solely for the following purposes:
- operating, maintaining, and securing the Platform;
- evaluation, audition, and recruitment workflows;
- delivery of services you have requested;
- customer support and dispute resolution;
- internal, non-public training, demonstrations, onboarding of staff and jury members, and reference examples within the Platform (excluding any external marketing, public showcases, investor presentations, social media, website materials, or other public-facing use, which require separate consent under Section 8.3
- legal compliance and platform integrity.
This license is granted for the period reasonably necessary to fulfill the purposes above. It terminates with respect to active use upon your account deletion, except where retention is required by law or where the content has been incorporated into anonymized aggregate data.
8.2.1 Your warranties regarding User Content
By uploading or creating User Content, you represent and warrant that:
- you own or have all necessary rights, licenses, permissions, and clearances to upload the content and to grant Younison the license set out in Section 8.2;
- the content does not infringe the intellectual property, privacy, publicity, or other rights of any third party, including in respect of musical works, arrangements, accompanists, other performers, venues, photographs, voice, likeness, or any third-party materials included in the submission;
- where the content includes the performance, image, or voice of any other person, you have obtained their informed consent for the use of that content on the Platform;
- the content is not unlawful, defamatory, or misleading; and
- the content reflects your own actual performance in accordance with Section 4.
You agree to indemnify Younison against any claim arising from a breach of these warranties.
8.3 External marketing use — separate consent required
Younison will not use your recordings, image, or identifiable performance content for external marketing, advertising campaigns, or third-party commercial purposes without your separate, explicit, written consent, which may be granted through a dedicated Recording & Image Rights Consent document.
8.4 Younison intellectual property
All Platform software, design, trademarks, logos, methodologies, evaluation frameworks, scoring rubrics, brand elements, and content created by Younison remain the exclusive property of Younison, Inc. and its licensors. No rights are granted to you in such materials except the limited right of use necessary to access the Platform as a registered user.
You agree not to, and not to permit any third party to:
- upload unlawful, defamatory, infringing, obscene, threatening, harassing, or discriminatory content;
- infringe the intellectual property rights, privacy rights, or other rights of any third party;
- upload viruses, malware, or any code designed to disrupt, damage, or limit the Platform;
- attempt unauthorized access to the Platform, other accounts, or related systems;
- scrape, crawl, mirror, reverse-engineer, or extract Platform data by automated means;
- record, screenshot, redistribute, or republish materials made available within the Platform (including jury feedback, other candidates' recordings, scoring rubrics, or institutional content);
- contact jury members, evaluators, or other candidates outside the Platform in relation to ongoing audition or evaluation processes;
- misuse the Platform to circumvent audition or hiring procedures;
- use the Platform to send unsolicited communications, advertising, or promotional content;
- use the Platform in violation of applicable laws, including export controls and sanctions.
9.1 Reporting and content moderation
If you believe that content on the Platform is unlawful, infringing, or otherwise violates these Terms, you can report it to contact@younison.com (or by any reporting tool made available within the Platform). Reports should identify the content, explain the alleged violation, and include the reporter's contact details.
Younison will review reports within a reasonable period and may, depending on the case, leave the content in place, restrict access, remove the content, warn the affected user, suspend or terminate the affected account, or take other action it considers appropriate.
9.2 Right to appeal
If Younison restricts your content or suspends or terminates your account under these Terms, you will be notified of the decision and the reason for it, where reasonably practicable. You may appeal the decision by writing to contact@younison.com within thirty (30) days. Appeals will be reviewed by a person not involved in the original decision, and you will be informed of the outcome within a reasonable period.
Nothing in this Section limits your statutory rights under applicable law, including under the EU Digital Services Act where it applies.
10. Copyright Complaints (Notice and Takedown)
Younison respects the intellectual property rights of others. If you believe that content available on the Platform infringes your copyright, you may submit a notice to contact@younison.com (Subject: "Copyright Complaint").
10.1 Notice requirements
Your notice should include:
- a physical or electronic signature of the rightsholder or authorized representative;
- identification of the copyrighted work claimed to have been infringed;
- identification of the allegedly infringing material and its location on the Platform;
- your contact information (name, address, telephone, email);
- a statement that you have a good-faith belief that the use is not authorized by the rightsholder, its agent, or the law;
- a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the rightsholder.
10.2 Younison's response
On receipt of a valid notice, Younison may remove or disable access to the allegedly infringing content, notify the user who uploaded it, and forward the notice to that user. Younison will act within a reasonable period.
10.3 Counter-notice
If your content has been removed or disabled and you believe this was in error or the result of misidentification, you may submit a counter-notice to contact@younison.com (Subject: "Copyright Counter-Notice") containing:
- your physical or electronic signature, name, address, and contact details;
- identification of the content that was removed and the location where it appeared before removal;
- a statement, made under penalty of perjury, that you have a good-faith belief that the content was removed in error or as a result of misidentification;
- your consent to the jurisdiction of the federal court for the judicial district in which your address is located (or, if outside the United States, the federal court for the District of Delaware), and that you will accept service of process from the person who submitted the original notice.
Younison may restore the content within a reasonable period after receiving a valid counter-notice, unless the original complainant initiates legal proceedings.
10.4 Repeat infringers
Younison maintains a policy of suspending or terminating the accounts of users who, in Younison's reasonable judgment, are repeat infringers of copyright.
10.5 Jurisdiction and applicable procedures
Younison handles copyright complaints in accordance with the U.S. Digital Millennium Copyright Act (DMCA), the EU Copyright Directive (2019/790) and Digital Services Act (2022/2065), and other applicable laws, to the extent each applies. References to the DMCA do not imply that Younison has registered a designated DMCA agent with the U.S. Copyright Office; such registration may be completed at a later date as Younison's U.S. operations expand.
Certain content on the Platform — including Audition Materials, evaluations, jury feedback, and institutional content — is visible only to Authorized Reviewers.
11.1 Authorized Reviewers
"Authorized Reviewers" means:
- Younison personnel — employees, contractors, and authorized representatives of Younison;
- Designated jury members and pre-screening reviewers — invited through the Platform to evaluate specific submissions;
- Authorized institutions — orchestras, conservatories, competitions, and similar entities to which the Musician has submitted Audition Materials, and their authorized personnel;
- Service providers — third parties engaged by Younison to support Platform operations (such as hosting, payment processing, communications infrastructure), under contractual confidentiality obligations.
11.2 Operational Purposes
Authorized Reviewers may access User Content and other Platform data only as reasonably necessary for one or more of the following Operational Purposes:
- evaluation of Audition Materials and delivery of assessment services;
- customer support and incident response;
- maintenance, debugging, and quality assurance;
- fraud prevention and platform integrity;
- content moderation, including review of reports under Section 9.1;
- security monitoring and incident response;
- legal compliance and response to lawful requests;
- pre-screening, assessment, and other Platform workflows the Musician has used;
- service provision by third-party providers engaged by Younison.
Access is granted on a need-to-know basis, is subject to confidentiality obligations, and is governed by Younison's internal access controls and the Privacy Policy.
11.3 Your confidentiality obligations
You agree to maintain the confidentiality of any non-public information you receive through the Platform, including jury feedback regarding other candidates, institutional materials, and evaluation criteria, and not to copy, share, redistribute, or publish such information outside the Platform without authorization.
Younison processes personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference.
You may request deletion of your account and associated personal data at any time by writing to privacy@younison.com. Younison will action deletion requests within thirty (30) days, subject to retention periods required by law, dispute resolution needs, payment verification, audit obligations, or other legitimate business interests as further described in the Privacy Policy. Anonymized records may be retained for statistical and benchmarking purposes.
Younison will use commercially reasonable efforts to maintain Platform availability. However, the Platform is provided on an "as-is" and "as-available" basis.
To the maximum extent permitted by law, Younison disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted operation. Younison does not warrant that audition processes will result in any particular outcome.
To the maximum extent permitted by applicable law, Younison, its officers, directors, employees, affiliates, and agents shall not be liable for any:
- hiring, admission, or engagement decisions made by institutions;
- artistic, professional, or career decisions or outcomes;
- opinions, scores, or feedback rendered by jury members;
- lost opportunities, lost profits, lost revenue, lost goodwill, or reputational harm;
- indirect, incidental, consequential, special, exemplary, or punitive damages;
- data loss except as caused by Younison's gross negligence or willful misconduct;
- failures, errors, or delays caused by third-party service providers (including payment processors, hosting providers, and connectivity providers);
- disputes between users, between musicians and institutions, or between musicians and jury members.
Younison's aggregate liability arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of (a) the total amount you paid to Younison in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD 100).
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death, personal injury caused by negligence, fraud, or gross negligence.
You agree to indemnify, defend, and hold harmless Younison and its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- your User Content, including any claim that it infringes third-party rights;
- your breach of these Terms;
- your misuse of the Platform;
- your violation of any applicable law or third-party right.
Younison shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, labor disputes, internet outages, cyber-attacks, or failures of third-party infrastructure or service providers.
Younison may amend these Terms from time to time. Material changes will be communicated to registered users by email, in-app notification, and/or prominent posting on the Platform, with a minimum advance notice period of fifteen (15) days before the change takes effect, except where shorter notice is required for legal, security, or operational reasons.
Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those Terms. If you do not accept the updated Terms, your sole remedy is to discontinue use and request account deletion.
18.1 Governing law
These Terms and any dispute arising out of or relating to them or the Platform shall be governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18.2 Mandatory consumer rights
Nothing in this Section limits rights granted to consumers under the mandatory laws of their country of habitual residence, including the EU General Data Protection Regulation (GDPR) and EU consumer protection law where applicable.
18.3 Forum
Subject to Section 18.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, United States, and the parties consent to the personal jurisdiction of such courts. EU consumers may also bring proceedings in the courts of their place of habitual residence.
18.4 Arbitration option (non-consumers)
For users who are not consumers, Younison may, at its option, require that any dispute be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the seat in Wilmington, Delaware, conducted in English, by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
18.5 Class action waiver
To the maximum extent permitted by law, you and Younison agree that any dispute shall be brought in an individual capacity and not as a plaintiff or class member in any class, collective, or representative action.
If you are a California resident, you have specific rights under the California Consumer Privacy Act ("CCPA") and the California Privacy Rights Act ("CPRA"), including the right to know, the right to delete, the right to correct, the right to opt out of "sale" or "sharing" of personal information, and the right to non-discrimination. Younison does not sell personal information for monetary consideration. For details and to exercise your rights, see the Privacy Policy or write to privacy@younison.com.
Where you are located in the European Union, European Economic Area, Switzerland, or the United Kingdom, you have rights under the GDPR or UK GDPR as described in the Privacy Policy, including the rights of access, rectification, erasure, restriction, portability, and objection, as well as the right to lodge a complaint with your competent supervisory authority.
Younison has appointed an EU Representative under Article 27 GDPR. Contact details are set out in the Privacy Policy.
You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive U.S. or EU sanctions, and that you are not listed on any U.S. or EU restricted-party list. You agree to comply with all applicable export-control and sanctions laws.
Younison reserves the right to restrict, suspend, or refuse access to the Platform, payment processing, submissions, or specific services in any country, territory, or to any user where it considers, in its reasonable judgment, that legal, payment-provider, export-control, sanctions, regulatory, or operational restrictions apply. Younison is not liable for any loss arising from such restrictions.
22.1 Notices
Notices to Younison shall be sent in writing to contact@younison.com. Notices to you may be given by email to the address associated with your account or by in-app notification.
22.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced by a valid one that most closely reflects the parties' original intent.
22.3 No waiver
A party's failure to enforce any right or provision shall not constitute a waiver of that right or provision.
22.4 Assignment
You may not assign or transfer these Terms without Younison's prior written consent. Younison may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or otherwise.
22.5 Entire agreement
These Terms, together with the Privacy Policy, the Cookie Policy, and any service-specific terms, institution-specific rules, audition-specific requirements, payment terms, separate consent forms, or other documents expressly referenced or made available to you, constitute the entire agreement between you and Younison regarding the Platform and supersede all prior agreements and understandings.In the event of a conflict between these Terms and another document that expressly states it prevails (such as a paid-service agreement or a signed consent), the more specific document prevails to the extent of the conflict.
22.6 Survival
Sections relating to intellectual property, license grants, confidentiality, indemnification, limitation of liability, governing law, dispute resolution, and any other provisions which by their nature should survive, shall survive termination of these Terms.
22.7 Language
These Terms are made available in English. Translations are provided for convenience only. In the event of any conflict, the English version prevails, except where mandatory consumer protection law requires otherwise.
22.8 Electronic acceptance
By clicking "I agree," creating an account, or otherwise accessing the Platform, you provide your electronic signature and consent to be bound by these Terms. Younison records each acceptance, including the date and time, the version of the Terms accepted, and the relevant account or device identifiers, as evidence of your agreement.
