YOUNISON TERMS AND CONDITIONS FOR MUSICIANS

1. INTRODUCTION

Welcome to Younison. These Terms and Conditions for Musicians (“Terms”) govern your use of all websites, mobile applications, software, features, and services (collectively, the “Platform”) provided by Younison, Inc., a Delaware corporation with registered office at 131 Continental Dr, Suite 305, Newark, DE 19713, USA (“Younison,” “we,” “our,” or “us”).

By creating an account, submitting content, or using any part of the Platform, you agree to be bound by these Terms and our [Privacy Policy]. If you do not agree, do not use the Platform.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

By creating an account or using the Platform, you represent, warrant, and agree that:

2.1 Age and Legal Capacity:

‍You are at least 18 years old, or above the minimum legal age required to consent to the processing of your personal data under the laws of your country of residence.

If you are under the age of majority in your country, you confirm that you have obtained verifiable parental or legal guardian consent to:

- Create an account on the Platform;
- Submit personal data, including performance videos and identifying information;
- Participate in evaluations and audition opportunities through the Platform.

Younison reserves the right to request proof of such consent at any time. Failure to provide proof may result in suspension or termination.

You are solely responsible for ensuring that your use of the Platform complies with all applicable laws, including age and data protection laws in your jurisdiction.

You confirm that all information provided is truthful, accurate, and complete. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3. DEFINITIONS

- “User Content” includes any video, text, music, image, audio, data, or other material you upload or submit.
- “Score” means any rating, analysis, or feedback given in response to submitted content.
- “Audition” refers to any professional opportunity posted through the Platform.
- “Services” includes any functionality of the Platform.
- “Institution” means any third party (orchestra, school, etc.) receiving your materials through the Platform.
- “Younison Personnel” means Younison’s employees, officers, contractors, and service providers with authorized access.
- “Authorized Reviewers” means (i) Younison Personnel; (ii) members of Younison’s internal or external jury panels; and (iii) third-party institutions that receive or pre-screen content through the Platform.
- “Operational Purposes” means any activity reasonably necessary to operate, maintain, secure, support, test, audit, and improve the Platform and Services, including quality assurance, customer support, moderation, policy compliance, fraud prevention, debugging, analytics, and pre-assessment workflows.

4. LICENSE TO USER CONTENT

You retain full ownership of all content you submit to the Platform, including videos, audio, text, and other materials (“User Content”).

However, by uploading or submitting User Content, you grant Younison a worldwide, non-exclusive, royalty-free, fully sublicensable and transferable license to use, reproduce, distribute, host, stream, display, and otherwise make use of such content strictly for purposes related to:

- Operating and maintaining the Platform;
- Evaluating performances and providing feedback;
- Enabling audition submissions and institutional review;
- Educational or research purposes;
- Promotional use relating to the Platform or featured artists.

Younison will not sell or license your videos to unrelated third parties without your explicit consent.

You further authorize Authorized Reviewers to access, view, and process your User Content as reasonably necessary for Operational Purposes, including technical verification, QA, moderation, or pre-assessment.

This license remains effective until you delete your content or account, except where retention is required for legal, operational, or archival purposes.

5. EVALUATION, FEEDBACK, AND SCORES

5.1 Internal Evaluation (Younison Jury)

‍You may submit videos for professional evaluation by Younison’s designated jury panel. Such evaluations provide artistic feedback and Scores, subject to Younison’s criteria.

5.2 External Auditions (Third-Party Institutions)

‍When applying to an audition hosted by an orchestra or institution, your videos will be securely transmitted to that institution and may also be reviewed by Younison if a pre-assessment phase is requested by the institution.

‍5.3 Rights and Use of Scores

‍All Scores and jury evaluations are the exclusive property of Younison. Younison may display them within user dashboards, anonymize them for research or analytics, and use them for benchmarking.

‍5.4 Access for Operational Purposes

‍You acknowledge that, beyond institutional or jury review, Authorized Reviewers may access and view your videos for Operational Purposes, including without limitation:

- Technical verification and troubleshooting;
- Quality assurance and support;
- Moderation and policy compliance;
- Security and anti-fraud checks;
- Internal research or service analytics;
- Pre-assessment workflows for partner institutions.

Younison is not required to notify you each time such access occurs.

6. AUDITIONS AND SUBMISSIONS

When recording via the Platform, your video is processed and uploaded directly to Younison’s secure servers. You acknowledge that:

- No local copy is retained;
- The Platform handles capture, encoding, and secure transmission;
- Videos are made available only to authorized parties.

By submitting your performance, you authorize Younison and Authorized Reviewers to access and process your videos and materials for evaluation, support, or transmission to the auditioning institution.

Younison cannot be held liable for technical failures beyond its control.

6.1 Application Wrapper & Agency Authorization

‍When you authorize Younison to manage your applications to external auditions, you grant limited agency rights for submission purposes only. Younison is not responsible for third-party platform errors or institutional decisions.

7. PLATFORM OWNERSHIP AND INTELLECTUAL PROPERTY

All intellectual property rights in and to the Platform (software, algorithms, design, content, etc.) belong exclusively to Younison or its licensors. Unauthorized use is strictly prohibited.

Any suggestions, ideas, or feedback provided by users may be freely used by Younison without obligation or compensation.

8. DATA PRIVACY AND PROCESSING

Younison is committed to protecting your privacy. Our practices are detailed in our Privacy Policy.

8.1 Types of Data Collected

‍Identification, contact, biographical, and performance information; video and audio recordings; feedback data; and technical or usage metadata.

8.2 Purpose of Data Processing

‍Your data may be processed to:

- Manage your account and services;
- Provide evaluations and auditions;
- Allow Authorized Reviewers to access your data for Operational Purposes;
- Conduct pre-assessment services for partner institutions;
- Perform research and service improvements;
- Comply with legal obligations.

8.3 Sharing of Data

‍Younison may share data:

- With Authorized Reviewers for evaluations or Operational Purposes;
- With orchestras or institutions for auditions;
- With service providers under confidentiality agreements;
- With legal authorities where required.

8.4 Data Security

‍Younison applies technical and organizational measures (encryption, limited access, audits). No system is immune to risk; users accept reasonable residual risk.

‍8.5 Retention

‍Data is retained only as necessary for operational or legal requirements.

‍Depending on jurisdiction, users may request access, correction, deletion, or data portability by contacting info@younison.com.

‍8.7 International Transfers

‍Data may be processed in the U.S. and other jurisdictions. Younison applies safeguards such as EU Standard Contractual Clauses and equivalent measures to ensure adequate protection.

9. ACCEPTABLE USE

You agree to use the Platform lawfully and professionally. Prohibited actions include misrepresentation, manipulation, abuse, unauthorized access, or harmful conduct.

Younison may monitor, review, and retain content or account activity for Operational Purposes as defined in these Terms.

Violations may result in suspension, content deletion, or legal action.

10. TERMINATION OF ACCOUNT

Younison may suspend or terminate accounts for any reason, including breach or inactivity.

Limited copies of User Content or logs may be retained as necessary for Operational Purposes, legal compliance, or dispute resolution.

11. DISCLAIMER OF WARRANTIES

The Platform and its services are provided “as is.”

Younison does not warrant that operations, scoring, or feedback will be uninterrupted or error-free, or that Operational Purpose reviews will detect all issues.

12. LIMITATION OF LIABILITY

Our Platform may contain links or integrations with third-party services. We are not responsible for their privacy practices or content.

We encourage you to review their privacy policies before interacting with them.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Younison, its affiliates, employees, and contractors from any claim or damage arising from your use, content, or breach of these Terms.

14. THIRD-PARTY CONTENT AND SERVICES

Younison is not responsible for third-party websites, services, or content linked within the Platform.

15. FORCE MAJEURE

Younison is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, or technical outages.

16. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any non-contractual obligations are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules.

‍Arbitration:
Any dispute arising out of or relating to these Terms shall be resolved by final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules.
Seat and venue: Wilmington, Delaware, USA.
Language: English.
Judgment on the award may be entered in any court of competent jurisdiction.

‍Class Action and Jury Waiver:
Both parties waive the right to a jury trial or to participate in any class, consolidated, or representative action.

‍Consumer Safeguard (EEA/UK):
If you are a consumer residing in the EEA or UK, you retain any mandatory protections and may bring claims in your local courts where such rights cannot be waived.

17. CHANGES TO TERMS

We may modify these Terms at any time. Continued use after publication constitutes acceptance. Users are responsible for reviewing updates periodically.

18. ENTIRE AGREEMENT

These Terms and our Privacy Policy constitute the entire agreement between you and Younison. If any provision is invalid, the rest remain enforceable.

19. NO AGENCY

Nothing in these Terms creates an agency, partnership, or employment relationship between you and Younison.

20. WAIVER AND SEVERABILITY

Failure to enforce any provision is not a waiver. If any clause is unenforceable, the remaining provisions remain valid.
